These Terms of Use ("Terms") govern access to and use of the software product ("Software") provided by Scalad Solutions Ltd., a company incorporated under the laws of Malta, with its registered office in Malta ("Company", "we", "us").
The Software is developed and owned by FirstInvision Software GmbH (Austria) and is licensed to the Company for distribution.
By installing, accessing, or using the Software, you ("User", "you") agree to be bound by these Terms.
1. License Grant
Subject to these Terms and payment of applicable fees, the Company grants you a:
non-exclusive
non-transferable
non-sublicensable
revocable
license to install and use the Software for internal business or personal use only.
The Software is licensed, not sold.
2. License Restrictions
You shall not:
copy, modify, or create derivative works
reverse engineer, decompile, or disassemble the Software
rent, lease, sublicense, distribute, or resell the Software
use the Software for third-party service provision without authorization
circumvent technical limitations or licensing mechanisms
3. License Model
The Software is licensed on a per-device basis
A license may be used on one device at a time
You may transfer the license to another device, provided it is no longer active on the previous device
4. Subscription, Billing, and Auto-Renewal
4.1 Subscription Plans
The Software is offered on a subscription basis with:
monthly billing, or
annual billing
All fees are charged in USD unless otherwise specified.
4.2 Auto-Renewal
All subscriptions automatically renew for successive periods equal to the initial term unless canceled.
4.3 Cancellation
You may cancel your subscription at any time. Cancellation becomes effective at the end of the current billing period.
4.4 No Refunds
All payments are non-refundable, including for partial subscription periods.
4.5 Payment Processing
Payments are processed via third-party providers (e.g., Stripe). You authorize the Company to charge your selected payment method.
5. Free Trial
The Company may offer a free trial at its discretion.
Trial duration and limitations are determined by the Company
The Company may modify or discontinue trials at any time
Trials may automatically convert into paid subscriptions unless canceled
6. Updates and Additional Features
6.1 Updates
Active subscriptions include access to updates and new versions of the Software.
6.2 Additional Modules
The Company may offer:
additional features
modules
extensions
These may be subject to separate fees (one-time or recurring).
7. Intellectual Property
All rights, title, and interest in and to the Software remain with FirstInvision Software GmbH and its licensors.
You retain ownership of all data and outputs created using the Software.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
To the maximum extent permitted by law, the Company disclaims all warranties, including:
merchantability
fitness for a particular purpose
non-infringement
The Company does not warrant that:
the Software will be error-free
results generated by the Software will be accurate or reliable
the Software will meet your specific requirements
You are solely responsible for verifying the results produced using the Software.
9. Limitation of Liability
To the maximum extent permitted by law:
the Company shall not be liable for indirect, incidental, or consequential damages
loss of profits, revenue, or business
data loss or corruption
The total liability of the Company shall not exceed the total fees paid by you in the 12 months preceding the claim.
10. Termination
The Company may suspend or terminate your access if you:
breach these Terms
fail to pay applicable fees
Upon termination:
your license ends immediately
you must cease all use of the Software
11. Export Compliance
You agree to comply with all applicable export control laws and regulations.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Malta.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Malta.
If you are a consumer, mandatory consumer protection laws in your jurisdiction may apply.
13. Modifications
The Company may modify these Terms at any time. Updated Terms become effective upon publication. Continued use constitutes acceptance.
14. General Provisions
If any provision is held invalid, the remaining provisions remain in effect
These Terms constitute the entire agreement between you and the Company
Failure to enforce any right shall not constitute a waiver
